The pre-listing statement of African Eagle Resources plc ("African Eagle), dated 20 August 2007, (the "Statement") was prepared for the purposes of African Eagle's secondary listing of its entire share capital on the Alternative Exchange (AltX) operated by JSE Limited ("JSE"). The Statement was not and is not an invitation to the public to subscribe for, or an offer to the public to purchase, African Eagle shares, but was prepared and issued in compliance with the JSE Listing Requirements for the purposes of giving information to the public with regard to African Eagle. To the best of the knowledge and belief of the directors of African Eagle, having taken all reasonable care to ensure that this was the case at the time of issue, the information contained in the Statement was in accordance with the facts and nothing was omitted which was likely to affect the importance of the information.
