Offer Circular

Do not view or download African Eagle Resources plc's Offer Circular until you have read and agreed to the following terms and conditions.

The Circular contains details of the Offer to Eligible Shareholders which was announced on the 20th July, 2009. The Offer is only available to Eligible Shareholders, being those shareholders of the company whose service addresses in the Shareholders' Register on 29th July 2009 are in the United Kingdom, the Republic of Ireland and Germany. The Offer closes at 11:00 on Thursday 6th August 2009.

The Circular also contains a Notice of the General Meeting of the Company to be held on 6th August 2009, together with a separate Form of Proxy. Shareholders who are not Eligible Shareholders may attend the General Meeting in person or by proxy but should take no action in relation to the Offer which is not capable of acceptance by them.

The Circular itself does not include any application form to enable Eligible Shareholders to participate in the Offer. Application forms are personalised for each Eligible Shareholder and have been sent, together with the Circular and Form of Proxy, by mail to each shareholder's address of record in the shareholders register on 21st July. If you hold any of your shares in African Eagle Resources plc through a nominee, then the application form, circular and form of proxy will have been sent to your nominee and you must contact your nominee in order to participate in the Offer.

If you became an Eligible Shareholder between 21st and 29th July and need an Application Form or have a query concerning completion of this Application Form, please call Capita Registrars between 9.00 a.m. and 5.00 p.m. on any business day on 0871 664 0321 (or, if calling from outside the United Kingdom, +44 20 8639 3399).

Calls to the 0871 664 0321 number cost 10 pence per minute (including VAT) plus your service provider’s network extras. Calls to the helpline from outside the UK will be charged at applicable international rates. Different charges may apply to calls from mobile telephones. Please note that calls may be monitored or recorded and that Capita Registrars cannot provide advice on the merits of the Offer or give any legal, financial or tax advice. If possible, you should have the details of your account to hand.
