EXERCISE OF WARRANT HOLDINGS IN COMPANY

African Eagle Resources plc (the "Company", Ticker: AFE) announces that the holders of 871,794 warrants have exercised at a price of 6p per share.
Following this exercise, the total number of shares in issue is 119,619,117. The Company has made application for the new shares to be admitted to trading on AIM and dealings are expected to commence on 26 April 2006.
