ISSUE OF SHARES ON EXERCISE OF WARRANTS
CHANGE OF A SIGNIFICANT SHAREHOLDING

African Eagle announces that the holders of 345,769 warrants have exercised at a price of 6p, bringing the total number of shares in issue to 76,815,338. The Company has made application for the new shares to be admitted to trading on AIM.
The Company has also been notified today that Mr R. B. Rowan sold 1,000,000 shares on 16 April 2004, bringing the total number of shares under his control to below 3% of the issued share capital.
